Terms and Conditions Web-App Synesgy
These Terms and Conditions (“T&Cs”) apply to the use of the Web-App "Synesgy" of Crif Spa, with registered office in Bologna, Via della Beverara 21, Fiscal Code and VAT number 02083271201 (hereinafter "CRIF"). These T&Cs contain the following terms and conditions, in addition to the conditions provided in the Privacy Policy on Synesgy App, to be intended incorporated herein by reference.
Synesgy Web-App allows the user - who has already accepted the T&Cs for the provision of Synesgy service on the relevant platform, using automated calling systems, such as, by way of example, SMS, MMS, e-mail, fax and who, by virtue of said subscription, has received from Crif the SMS containing the access codes to their personal page of the Synesgy Web-App (the "User") - to visualize and/or download the Information filled in the Questionnaire, the Seal, the ESG Score, the Action Plan and the QR Code, as well as to access the Synesgy newsletter.
By accessing and/or using the Synesgy Web-App, the User agrees to be bound by:
- the Web-App Synesgy T&Cs, set forth herein;
- the Privacy Policy on Synesgy App
The User is required to read the following conditions carefully.
Collectively, the Web-App Synesgy T&Cs and the Privacy Policy on Synesgy App are referred to as the "Contract." The Contract is a binding agreement between the User and Crif, in relation to the User's use of the Synesgy Web-App.
Use of Synesgy Web-App. Synesgy Web-App must not be used improperly. It is permitted to use the Synesgy Web-App only in compliance with the applicable law. Crif reserves the right to suspend or terminate the User's access to the Synesgy Web-App if the User fails to comply with the T&Cs, the terms or rules indicated by Crif, or in the event Crif needs to verify and/or investigate on an alleged unlawful conduct by the User.
By using the Synesgy Web-App, the User does not become the owner of any intellectual property rights in Synesgy Web-App and/or its contents. The T&Cs do not grant the User the right to use any trademark or logo contained in the Synesgy Web-App. It is forbidden to remove, obscure, or alter any legal notices contained in the Synesgy Web-App.
User Account. The User is responsible for the activities performed on and/or through its account.
Third-Party Applications, Services, or Sites. The Synesgy Web-App may enable linking or connection to functionalities of third-party applications, services, or sites that are not owned or controlled by CRIF (collectively, “Third-Party Applications”). Such Third-Party Applications are subject to the terms and conditions of the relevant third-party provider. Crif exercises no control over and is not responsible for issues relating to any interactions or transactions by the User with such third parties or related to content, information posted, applications, services, sites, advertisements, links, privacy policies, and/or practices of such third parties that the User has accessed through the Synesgy Web-App. The verification of privacy policies and terms and conditions of third-party sites visited by the User before downloading or using such Third-Party Applications is the sole responsibility of the User.
Data Protection
Modifications. Crif reserves the right to modify the T&Cs at any time, without prior notice and without any liability towards the User. The continuative User's use of the Synesgy Web-App following any modifications to these T&Cs constitutes acceptance of such modifications by the User. Should the User does not agree to and does not comply with these T&Cs, the User may not use the Synesgy Web-App.
LIABILITY. THE USE OF THE SYNESGY WEB-APP IS AT THE USER'S SOLE RISK. SYNESGY WEB-APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS; CRIF DISCLAIMS ANY OBLIGATION OF MAINTENANCE OR SUPPORT RELATING TO THE SYNESGY WEB-APP. CRIF MAKES NO WARRANTIES AND DISCLAIMS ALL LIABILITY FOR THE AVAILABILITY, TIMELINESS, SECURITY, RELIABILITY, AND QUALITY OF SYNESGY WEB-APP, FOR THE SOFTWARE CONNECTED TO IT, OR FOR THE USE OF SUCH SOFTWARE, OR FOR APPLICATIONS OR OTHER PRODUCTS. CRIF DISCLAIMS ANY LIABILITY, EXPRESS OR IMPLIED, RELATING TO QUALITY, PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AS WELL AS THE ACCURACY AND RELIABILITY OF INFORMATION OR RECOMMENDATIONS TRANSMITTED THROUGH THE SYNESGY WEB-APP. NO INFORMATION PROVIDED ORALLY OR IN WRITING BY CRIF OR ITS LICENSORS OR SUPPLIERS SHALL CONSTITUTE A WARRANTY, AND THE USER IS NOT AUTHORIZED TO RELY ON SUCH INFORMATION. CRIF RESERVES THE RIGHT TO LIMIT OR TERMINATE THE USER'S USE OR INTERRUPT THE SYNESGY WEB-APP AT ITS SOLE DISCRETION. TO THE EXTENT PERMITTED BY LAW, CRIF SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES OF ANY KIND, DIRECT OR INDIRECT, RESULTING FROM THE USE OR POSSESSION OF THE SYNESGY WEB-APP, OR FOR ANY LOSS OF PROFITS, REVENUE, CONTRACTS, OR SAVINGS, OR ANY OTHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, CAUSED BY THE USE OR INABILITY TO USE THE SYNESGY WEB-APP, BY DEFECTS IN DATA OR INFORMATION, OR FOR THE BREACH OF THESE T&CS. IN NO EVENT SHALL CRIF'S AGGREGATE LIABILITY EXCEED THE AMOUNT ACTUALLY PAID BY THE CUSTOMER (WHERE APPLICABLE) FOR THE SYNESGY WEB-APP AND THE SOFTWARE CONNECTED TO IT.
Intellectual Property. Crif provides the Synesgy Web-App to the User under a limited, non-exclusive license to use the Synesgy Web-App in accordance with the T&Cs. Crif is and remains the owner of all rights, titles, and interests relating to the Synesgy Web-App and the software connected to it. The User agrees not to alter, destroy, obscure, or otherwise remove any trademarks or proprietary rights protected by copyright with respect to the Synesgy Web-App. The User agrees not to decompile, disassemble, decode, or in any way attempt to access the source code of the Synesgy Web-App. The User agrees to use the Synesgy Web-App exclusively for personal use and agrees not to copy, even in part, the Synesgy Web-App, not to make any commercial use of it, and not to rent, lease, lend, resell, publish, license or sublicense, distribute, assign, or otherwise transfer any parts of the Synesgy Web-App to third parties.
Governing Law/Jurisdiction. The T&Cs are governed by the laws of Italy. The User agrees to the exclusive jurisdiction of the Italian courts, and in particular, the Court of Bologna.
